1F Play GameHub

1. DEFINITIONS

"Account" a registered user account on the OneFootball Platform that grants access to 1F Play GameHub.

"CAP Code" the UK Code of Non-broadcast Advertising and Sales Promotion.

"Content" any text, graphics, images, audio, video, data, or other material made available through GameHub.

"ESCS" the external scoring and competition system used to record and validate gameplay scores server-side.

"Free Prize Draw" a prize promotion in which the winner is selected at random from valid entries, as described in clause 8.

"Full Launch" any future version of GameHub that introduces paid entry, wagering, or the $OFC Token, as defined in applicable future terms.

"GameHub" the 1F Play GameHub feature, games library, and prize competition system accessible through the OneFootball Platform.

"Games" the individual games made available within GameHub.

"Operator" OneFootball GmbH, a company registered in the Federal Republic of Germany, whose registered office is at Donaustraße 44, 12043 Berlin, Germany.

"OneFootball Platform" the platform operated by the Operator through which GameHub is accessed, including the OneFootball application.

"Prize Competition" a prize promotion in which the winner is determined by the exercise of skill, as described in clause 8.

"Prize Rules" the specific rules applicable to a particular Prize Competition or Free Prize Draw, displayed and accepted at entry.

"Services" GameHub and all related features, content, and functionality provided by the Operator.

"Terms" these Terms of Use, as amended from time to time in accordance with clause 21.

"UK GDPR" the UK General Data Protection Regulation, as retained in UK law by the European Union (Withdrawal) Act 2018, and as amended.

"User" or "you" the individual who accesses or uses GameHub.

"User-Generated Content" or "UGC" any content submitted or transmitted by a User in connection with the Services, including Versus challenge codes and competition entries.

"Versus" the head-to-head challenge feature within GameHub.

2. STATUS OF THESE TERMS

2.1 These Terms govern your access to and use of GameHub. By clicking 'I Agree' or by accessing or using GameHub, you enter into a binding contract with the Operator on the terms set out here.

2.2 These Terms supplement and should be read alongside the OneFootball Platform's general terms of service and Privacy Policy. In the event of conflict, these Terms prevail in respect of your use of GameHub.

2.3 If you do not agree to these Terms, you must not access or use GameHub.

2.4 The Operator will record the version of these Terms you accepted and the date and time of acceptance.

3. ELIGIBILITY

3.1 You may use GameHub only if:

(a) you are aged 13 or over. Users under 13 may not create an Account or access GameHub. This minimum age is set by Article 8 of the UK GDPR and section 9 of the Data Protection Act 2018;

(b) you hold a valid OneFootball Platform Account;

(d) your access and use comply with all applicable laws in your jurisdiction.

3.2 GameHub is currently available only in the United Kingdom. Access from other jurisdictions is not supported in the Soft Launch phase and may be restricted by technical means.

3.3 Participation in Prize Competitions and Free Prize Draws is restricted to users aged 18 or over.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Access to GameHub requires a valid OneFootball Platform Account. There is no separate GameHub registration process; your OneFootball Platform Account credentials apply.

4.2 You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

4.3 You must not share your Account with, or transfer access to, any other person.

4.4 You must notify the Operator immediately at info@onefootball.com if you suspect unauthorised access to your Account.

4.5 The Operator uses the date of birth registered with your OneFootball Platform Account to determine your age band and apply age-appropriate features and restrictions as required by the ICO Age-Appropriate Design Code 2021. You must ensure your date of birth is accurate.

5. LICENCE TO USE THE SERVICES

5.1 Subject to your compliance with these Terms, the Operator grants you a limited, non-exclusive, non-transferable, revocable licence to access and use GameHub for your own personal, non-commercial purposes.

5.2 This licence does not include the right to:

(a) sub-license, sell, resell, transfer, assign, or commercially exploit the Services or any Content;

(b) copy, modify, distribute, publicly perform, or create derivative works of any Content except as expressly permitted by the Operator;

(d) use any automated means, bot, scraper, or similar technology to access or interact with the Services.

5.3 All rights not expressly granted are reserved to the Operator and its licensors.

6. ACCEPTABLE USE AND PROHIBITED CONDUCT

6.1 You must use GameHub only for lawful purposes and in accordance with these Terms.

6.2 You must not:

(a) manipulate, exploit, or attempt to cheat in any Game or Prize Competition, including by submitting scores other than those recorded server-side by ESCS;

(b) create multiple Accounts to circumvent eligibility requirements or prize limits;

(c) use GameHub to distribute or transmit harmful, unlawful, defamatory, abusive, threatening, obscene, or otherwise objectionable material;

(d) submit or transmit through the Versus feature or any other user-facing input field any content that is illegal, offensive, or infringes the rights of any third party;

(e) interfere with or disrupt the integrity or performance of GameHub, the OneFootball Platform, or ESCS;

(f) attempt to gain unauthorised access to any part of GameHub or any related system or network;

(g) use GameHub to facilitate any illegal activity, including money laundering or fraud;

(h) violate any applicable local, national, or international law or regulation.

6.3 The Operator reserves the right to remove any content that violates this clause and to take action under clause 17.

7. PRIZE COMPETITIONS AND FREE PRIZE DRAWS

7.1 GameHub may offer Prize Competitions and Free Prize Draws from time to time. All prize promotions are governed by these Terms and by the applicable Prize Rules, which you must accept separately before entering.

7.2 GameHub is free to play. No purchase, stake, or payment is required to enter any Prize Competition or Free Prize Draw during the Soft Launch phase. The Gambling Act 2005 does not apply to these promotions.

7.3 Prize Competitions:

(a) The winner of a Prize Competition is determined solely by skill, applying the criterion stated in the applicable Prize Rules (for example, the highest verified gameplay score as recorded by ESCS).

(b) All competition scores are submitted server-side from the game engine via the ESCS API. Client-submitted scores are rejected. This ensures equitable administration as required by CAP Code section 7.2.

7.4 Free Prize Draws:

(a) The winner of a Free Prize Draw is selected at random from all valid entries using an auditable random selection mechanism.

(b) Predominantly chance games (currently Games G05 1F Higher Lower and G07 Footchinko) may only be offered as Free Prize Draws and must not be presented or described as skill competitions. This reflects the requirement under the Consumer Protection from Unfair Trading Regulations 2008 not to mislead consumers about the nature of winner selection.

7.5 All prize promotions comply with CAP Code section 7. Each set of Prize Rules will state:

(a) the prize description and actual retail value;

(b) eligibility requirements and any geographical restrictions;

(d) the win criterion (skill score or random selection, as applicable);

(e) the promoter's identity;

(f) a link to these Terms and the full Prize Rules.

7.7 Prizes are non-transferable and non-exchangeable for cash unless stated otherwise in the Prize Rules.

7.8 Winners are notified by email within five (5) Business Days of the competition or draw close. Winners must claim their prize within seven (7) days of notification. Unclaimed prizes are forfeited.

7.9 An immutable audit log of all winner selections (score-based or random) is retained for a minimum of thirty (30) days after competition close, in compliance with CAP Code section 8.28.

8. INTELLECTUAL PROPERTY

8.1 All intellectual property rights in and to GameHub, the Games, and the Content (including trade marks, designs, software, and database rights) are owned by or licensed to the Operator.

8.2 Certain Games within GameHub are licensed from third-party studios:

(a) Games G07-G09 are licensed from Ravalmatic;

(b) Game G10 (Crowd Legends) is licensed from 532 Studios; and

These studio licences are subject to execution at Full Launch. The relevant Games will not be made available until the required licences are in place.

8.3 Nothing in these Terms grants you any right, title, or interest in any intellectual property belonging to the Operator or its licensors other than the limited licence set out in clause 5.

8.4 If you believe that any Content on GameHub infringes your intellectual property rights, please notify the Operator at legal@onefootball.com.

9. THIRD-PARTY SERVICES AND CONTENT

9.1 GameHub may contain links to or integrations with third-party services, websites, and applications. The Operator does not control and is not responsible for the content, privacy practices, or terms of any third-party service.

9.2 ESCS processes gameplay data on behalf of the Operator as a data processor under a Data Processing Agreement compliant with Article 28 of the UK GDPR. Your use of the Services constitutes acknowledgment of this processing.

9.3 Your use of any third-party service is subject to that service's own terms and conditions. The Operator recommends that you review those terms before using any linked service.

10. SERVICE AVAILABILITY AND CHANGES

10.1 The Operator does not guarantee that GameHub will be available at all times or that access will be uninterrupted, timely, or error-free.

10.2 The Operator may at any time, without prior notice:

(a) suspend or restrict access to GameHub for maintenance, security, or operational reasons;

(b) modify, add, remove, or discontinue any Game or feature;

10.3 Where the Operator makes a material change to GameHub that adversely affects your use, it will provide reasonable prior notice where practicable.

10.4 Any suspension or discontinuation of a Prize Competition or Free Prize Draw that has already been entered by you will be handled in accordance with the applicable Prize Rules.

11. DISCLAIMERS

11.1 GameHub is provided 'as is' and 'as available'. To the maximum extent permitted by applicable law, the Operator excludes all warranties, representations, and conditions, whether express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement.

11.2 The Operator does not warrant that:

(a) GameHub will meet your requirements;

(b) GameHub will be error-free or free from viruses or other harmful components;

11.3 Nothing in these Terms excludes or limits the Operator's liability for death or personal injury caused by its negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.

12. LIMITATION OF LIABILITY

12.1 Subject to clause 11.3, to the maximum extent permitted by applicable law, the Operator's total liability to you (whether in contract, tort including negligence, breach of statutory duty, or otherwise) arising out of or in connection with GameHub or these Terms shall not exceed the greater of:

(a) the total amounts paid by you to the Operator in the twelve (12) months preceding the claim; or

(b) £100.

12.2 Subject to clause 11.3, the Operator shall not be liable for:

(a) loss of profits, revenue, or business;

(b) loss of data;

(d) indirect, consequential, or special loss;

in each case whether or not such losses were foreseeable or the Operator had been advised of their possibility.

13. INDEMNITY

You agree to indemnify, defend, and hold harmless the Operator, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your use of GameHub in breach of these Terms;

(b) any UGC you submit;

14. SUSPENSION AND TERMINATION

14.1 The Operator may immediately suspend or permanently terminate your access to GameHub, without prior notice, if it reasonably believes that you have:

(a) breached any provision of these Terms;

(b) engaged in fraudulent, abusive, or unlawful conduct;

(d) cheated in any Game or Prize Competition.

14.2 If your Account is suspended or terminated while you have a pending prize claim, the Operator will determine, at its reasonable discretion and in accordance with the applicable Prize Rules, whether that claim is valid.

14.3 You may cease using GameHub at any time. Deleting your OneFootball Platform Account will trigger deletion of your GameHub personal data within thirty (30) days, including data held by ESCS, in accordance with the Privacy Notice.

15. MINORS AND AGE-APPROPRIATE DESIGN

15.1 GameHub is accessible to users aged 13 and over. Users under 13 are not permitted to create an Account.

15.2 The Operator applies age-appropriate product design for users under 13, in compliance with the ICO Age-Appropriate Design Code 2021 (the 'Children's Code'). This includes:

(a) privacy settings defaulted to the most restrictive for users under 13;

(b) no commercial profiling or personalised advertising targeting users under 13;

(d) Versus and all social/interactive features disabled for users under 13.

15.3 The Operator does not use nudge techniques, dark patterns, or design features intended to encourage users under 18 to share more data or extend their play beyond healthy limits, as required by Children's Code Standard 13.

15.4 If the parent or guardian of a user under 13 believes that their child has registered an Account, they should contact the Operator at info@onefootball.com for immediate deletion of the Account and associated data.

16. GOVERNING LAW AND JURISDICTION

16.1 These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the law of England and Wales.

16.2 Subject to clause 16, both parties submit to the exclusive jurisdiction of the courts of London, England.

17. DISPUTE RESOLUTION

17.1 The Operator is committed to resolving disputes with users promptly and fairly. If you have a complaint about GameHub, please contact the Operator first using the details in clause 20.

17.2 Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

18. AMENDMENTS

18.1 The Operator may amend these Terms at any time. It will notify you of material changes by in-app notification, email, or a prominent notice within GameHub, and will specify the effective date of the new version.

18.2 Your continued use of GameHub after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using GameHub.

19. GENERAL

19.1 If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed and shall not affect the validity and enforceability of the remaining provisions.

19.2 The Operator's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19.3 These Terms, together with the OneFootball Platform's general terms and the Privacy Notice, constitute the entire agreement between you and the Operator in relation to GameHub and supersede all prior representations, agreements, and understandings.

19.4 You may not assign or transfer any rights or obligations under these Terms without the Operator's prior written consent. The Operator may assign its rights and obligations under these Terms to any successor to its business or the relevant part of it.

19.5 These Terms do not create any partnership, joint venture, employment, or agency relationship between the parties.

19.6 Nothing in these Terms affects your statutory rights as a consumer under applicable UK law.
