OFC ALLOWLIST TERMs & COnditions

These Terms and Conditions ("Terms") govern your application and participation in the OneFootball Club Allowlist ("Allowlist") for the upcoming launch of the $OFC ("Token Launch") of OneFootball GmbH ("OneFootball", "we", "us" or "our"). By submitting an application to the Allowlist, you ("Applicant") agree to comply with and be bound by these Terms.

1. Eligibility

1.1 By applying, you represent and warrant that

a. You are at least 18 years of age or have reached the legal age of majority in your jurisdiction; and

b. You have the legal capacity to enter into these terms and conditions; and

c. You are not a resident or domiciled in any jurisdiction where participation is restricted or prohibited by applicable laws and regulations.

1.2. OneFootball reserves the right to verify your eligibility at any time and may disqualify any Applicant who fails to meet these criteria.

2. Application Submission

2.1. You must submit a complete and accurate application through the designated channel provided by OneFootball.

2.2. By providing the required information, including but not limited to your wallet address, social media handles, and email address, you grant OneFootball the right to:

a. Evaluate your application based on predefined criteria.

b. Retain and process the provided information for purposes related to the Allowlist, $OFC presale, and other OneFootball initiatives.

2.3. Submission of an application does not guarantee acceptance into the Allowlist or allocation of tokens.

2.4 The Applicants will be evaluated based on the information connected to their “.football ID” within the OneFootball application, Applcants Onchain activity, club.onefootball.com/join activity (⚽️ BALLS) and the Applicants social media activity (collectively referred to as the “Predefined Criteria”).

3. Data Collection, Processing, and Retention

3.1. By accepting these Terms for the ‘Allowlist Application’, you consent to the collection, processing, and retention by OneFootball of the following personal information:

a. Email address,

b. User wallet address,

c. Your X Account details and any publicly available information relating to your X Account, e.g. account name, account age, number of followers;

d. Telegram user information and the publicly available information related to your Telegram account, e.g. account name, number of followers;

e. Warpcast user data and the publicly available information related to your Telegram account, e.g. account name, account age, number of followers;

f. Your OneFootball ".football ID";

3.2. This information will be used for the following purposes:

a. To evaluate Allowlist applications.

b. To contact you via your email and Telegram regarding all matters relating to the Allowlist, the $OFC Pre-Sale and related promotional events.

c. Marketing and promotional activities in relation to OneFootball Club, subject to applicable legal requirements.

d. To comply with legal, regulatory and audit requirements.

3.3. You also agree that OneFootball may contact you by email for the following marketing purposes Product and event information, exclusive promotions, competitions, offers, information from advertising partners of OneFootball partners and birthday mailings.

3.4 The processing and transfer of your data is based on your consent and in order to fulfil our contractual obligations pursuant to Art. 6 par. 1 lit. a) and lit. b) GDPR. You have the right to access, rectify or request the deletion of your personal data at any time with effect for the future, subject to the limitations of applicable law. You may revoke your consent at any time by notifying us in writing by email to privacy@onefootball.com or by using the contact form on our website.

3.5. We will retain your data for as long as necessary to fulfil the purposes set out above or as required by applicable law.

4. Representations and Warranties

By applying for the allowlist, your represent and warrant that: (i) All information provided in your application is accurate and truthful, (ii) you are not participating on behalf of any third party, (iii) You are not engaged in any illegal activities and comply with all applicable laws or (iv) you understand the risks associated with cryptocurrency investments, including potential loss of capital.When you use the OneFootball app, we collect the following technical data to enable the functions of the OneFootball app, which is automatically collected from your mobile device and transmitted to us when you use it.

5. Acceptance and Notification

5.1. Selection for the Allowlist is at the sole discretion of OneFootball and is based on the stated acceptance criteria, including but not limited to onchain activity, social media engagement, community contributions to the OneFootball Club campaign via https://club.onefootball.com/join, previous purchases of the “OFC x Base” NFT, setting up a personal “.football ID” within the OneFootball app.

5.2. Notification of acceptance will be provided via:

a. The official Mocalist sales page.

b. OneFootball’s Telegram’s "$OFC Allowlist" group.

5.3. OneFootball reserves the right to modify the acceptance criteria or notification process at any time without prior notice.

6. Disqualification

6.1. OneFootball reserves the right to refuse any applicant at any time for any reason, including but not limited to

a. Providing false, incomplete or misleading information; or

b. Violation of these Terms and Conditions or applicable law; or

c. Engage in any exploitative, fraudulent, abusive or otherwise harmful conduct.

6.2. Disqualification decisions are final and not subject to appeal.

7. Limitation of Liability

7.1 OneFootball shall not be liable for any loss, damage or liability arising from

a. Your participation in the Allowlist or any related activities.

b. Technical problems or failures relating to the Allowlist application process.

c. Your inability to participate in the Token Launch due to regulatory restrictions.

d. Market fluctuations or changes in the value of the Token.

7.2. Participation in the Allowlist is not a guarantee of Token allocation, financial return or access to any specific benefits.

7.3. OneFootball is not responsible for any issues arising from third party services, including but not limited to Coinlist/Mocalist, including their Know-Your-Customer (KYC) processes.

8. Scam Awareness and Security

8.1. OneFootball will never request private keys, passwords or sensitive wallet information. Applicants are solely responsible for verifying the authenticity of any communication or link related to the Allowlist.

8.2. OneFootball disclaims all liability for losses incurred as a result of phishing, impersonation or fraudulent activity.

9. Amendments and Termination

The Company reserves the right, at its sole discretion, to modify, add, amend, or terminate these Terms at any time without prior notice. Any such modifications shall become effective immediately upon their publication on the Company’s official communication channels. Continued participation in the allowlist after the implementation of such modifications shall constitute the applicant’s acceptance of the revised Terms.

10. Governing Law and Jurisdiction

10.1. These Terms are governed by the laws of the Federal Republic of Germany.

10.2. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
