Introduction
OneFootball
OneFootball Capital GmbH is a company incorporated under the laws of Germany with registered address at Donaustraße 44, 12043 Berlin and registered at the district court Berlin Charlottenburg with the number HRB 131613 B („OneFootball Capital GmbH” and, together with the other members of its corporate group „OneFootball”, „we”, „us” or „our”).
OneFootball produces, distributes and monetizes football news and football-related content via the „OneFootball Ecosystem”, being certain digital outlets and platforms of OneFootball, including, without limitation, the owned and operated platforms (being the mobile application „OneFootball” on iOS, Android and Harmony OS (the „App”), Connected TV App („TV App”) and the website „www.onefootball.com” (the „Site” and together with the App, the TV App and the decentralised App (the „dApp”), the „OneFootball Platform”), the video player operated by OneFootball, which is embedded within other digital platforms operated by approved third party publishers under rights from OneFootball (the „Embed Player”), third-party platforms with whom OneFootball has entered into an agreement for the supply, hosting and/or distribution of football-related content, which allow OneFootball to monetise the content of its partners).
FanPass and $OFC Tokens
FanPass is a dual-value network where fan engagement generates economic value: technical partners and sponsors fund reward pools, and qualifying fans receive token rewards based on verified engagement („FanPass”).
OneFootball issues utility token crypto-assets called OneFootball Credits („$OFC Tokens”) [link Token Terms] which allow Users to acquire certain goods and services within the OneFootball Ecosystem. [link Ecosystem Terms] [Note to OF: Please link the respective terms.]
Purpose of the FanPass Terms and Conditions
These FanPass Terms and Conditions (the „FanPass Terms”) agreed between OneFootball and you („you” or „User”) set forth the terms under which OneFootball provides access to and use of FanPass to you. These FanPass Terms define the rights and obligations of both parties in connection with the use of FanPass, particularly the two-stage consent model, data processing architecture, partner access controls, reward distribution mechanics, and limitation of OneFootball's liability. Please read these FanPass Terms carefully before you start to use FanPass.
Definitions
For the purposes of these FanPass Terms, the following definitions apply:
„Activation Campaign” means a sponsor-funded or partner-funded engagement campaign within FanPass in which eligible Users may participate in exchange for the opportunity to earn $OFC Token rewards or other benefits, subject to completion of campaign requirements and provision of Campaign Participation Consent.
„Attestation“ means a cryptographically signed record that certifies a User's completion of an Activation Campaign, eligibility status, or other FanPass activity, and which may be used to determine reward distribution or grant access to partner services.
„Campaign Participation Consent“ means the additional opt-in consent provided by a User pursuant to Section 5(b) to participate in a specific Activation Campaign, enabling detailed activity sharing with sponsors/partners (via Data Views), campaign completion signals/attestations, and $OFC distribution.
„CohortScore“ means a behavioral classification and score (0-100) assigned to a User based on aggregated Platform Activity, used for matching Users to Activation Campaigns and determining eligibility.
„Data Views“ means aggregated insights and summary data exposed to sponsors, partners, and platforms regarding Users, including FanScore, CohortScore, eligibility attributes (age bracket/region via ZKP), campaign activity aggregates, and completion attestations, and expressly excluding raw event logs or Personal Data.
„Enrolment Consent“ means the initial consent provided by a User pursuant to Section 5(a) upon registration to FanPass, covering Identity Profile creation, Platform Activity aggregation, publication of aggregate data for eligibility matching, FanScore/cohort calculation, and age/location authentication.
„FanScore“ means a numerical reputation score (ranging from 0 to 10,000) assigned to a User based on aggregated Platform Activity, engagement metrics, campaign participation, and other factors determined by OneFootball in its sole discretion, and used to determine eligibility for Activation Campaigns and rewards.
„Identity Profile“ means the User's verified digital identity within FanPass, comprising personal identity data (name, email, date of birth, location), wallet address linkage, ZKP-based age and location credentials, FanScore, CohortScore, milestones, and campaign participation history.
„Personal Data“ means any information relating to an identified or identifiable natural person as defined under applicable data protection laws, including the General Data Protection Regulation (GDPR).
„Platform Activity“ means the User’s engagement and activity data collected across the OneFootball Ecosystem, including content consumption, predictions, interactions, app usage, and other metrics, which are aggregated to calculate FanScore and CohortScore.
„Wallet” means the OneFootball self-custodial cryptocurrency wallet as described in the [OneFootball Wallet Terms], which is linked to the User's OneFootball Account and is mandatory for receiving $OFC Token rewards and Attestations through FanPass.
„Zero-Knowledge Proof” or „ZKP” means a cryptographic method by which a User can prove possession of certain attributes (such as age ≥18 or location within a permitted region) without revealing the exact underlying data (such as date of birth or precise geolocation).
Acceptance of FanPass Terms
Conditions under which a User accepts the Ecosystem Terms
By registering for FanPass, providing Enrolment Consent, or using FanPass in any way, you accept and agree to be bound and abide by these FanPass Terms, as well as OneFootball's [Terms of Use], the [Wallet Terms], the [Token Terms], the [Ecosystem Terms], and our [Privacy Policy].
Using FanPass inter alia means creating an Identity Profile, consenting to Platform Activity aggregation, participating in Activation Campaigns, receiving $OFC Token rewards, viewing Data Views, and granting or revoking partner access consents.
Age and Jurisdiction Restrictions
FanPass is available only to Users who are 18 years of age or older. By using FanPass, you represent and warrant that you are of legal age to form a binding contract with OneFootball.
FanPass is not available to Users with a permanent residence in or nationality of:
Afghanistan, Angola, Belarus, Canada, Central African Republic, Colombia, Congo, Cuba, Côte d'Ivoire, Democratic Republic of Congo, Democratic Republic of Korea (North Korea), Guinea-Bissau, Iran, Lebanon, Liberia, Libya, Mali, Mozambique, Myanmar, Nicaragua, Nigeria, People's Republic of China, Regions of Ukraine (Crimea, Donetsk, Luhansk & any other non-government-controlled regions), Rwanda, Russia, Somalia, South Sudan, Syria, Uganda, United Kingdom, Venezuela, Yemen, and Zimbabwe;
any jurisdiction in which the ownership of the Tokens or the use of the Platform is prohibited by Applicable Law; and
any jurisdiction which is subject to United States, United Nations or other applicable sanctions or embargoes.
OneFootball reserves the right to add and/or remove (as the case may be) jurisdictions to (or from) the list above at any time, upon at least 14 days’ prior notice via the FanPass interface or email, except where immediate restriction is required by law, sanctions, regulatory order, or court order, in which case OneFootball may restrict access without prior notice.
FanPass Service Description
Overview of FanPass
FanPass operates as a dual-value network within the OneFootball Ecosystem in which technical partners and sponsors fund reward pools, and qualifying fans (Users) receive $OFC Token rewards based on verified engagement. FanPass creates a circular economy where fan activity generates reputation, sponsors access targeted audiences through $OFC payments, and reward pools are funded, creating token scarcity and stable value. FanPass is structured around three core components: (1) Identity Profile (who the User is), (2) Platform Activity (what the User does), and (3) Activation Campaign (what the User participates in to receive rewards in the form of $OFC Tokens).
Two-Stage Consent Model
FanPass employs a two-stage consent model (see Section 5).
Identity Profile and Behavioral Identity System
The User's Identity Profile comprises: (i) Identity (name, email, OneFootball account, wallet address; wallet address pseudonymous on-chain), (ii) FanScore (aggregate engagement score 0-10,000; aggregate published via Data View), (iii) Cohort (behavioral classification and score; classification and score published via Data View), (iv) Age (age bracket; derived via ZKP; bracket only, not exact age), (v) Location (region; derived via ZKP; region only, not precise location), and (vi) Milestones Reached / Campaign Participation (on-chain, via campaign completion). The profile determines campaign eligibility.
FanPass classifies Users based on their activity patterns into different behavioral identities (Cohorts). These scores determine campaign eligibility and are shared via Data Views with User consent.
A Wallet linked to the User's OneFootball Account is mandatory for participation in FanPass and for receiving $OFC Token rewards and Attestations. The Wallet is a self-custodial solution. This means that the Wallet ensures that only the User has control over their Private Key. OneFootball neither stores nor has access to the Private Key nor is OneFootball a custodian of the Wallet or any digital assets or tokens stored in the Wallet.
Platform Activity Aggregation
FanPass aggregates the User’s Platform Activity across the OneFootball Ecosystem, including:
Content consumption (articles read, videos watched, matches followed);
Predictions and gamification activities;
Interactions (comments, shares, likes);
App and Site usage metrics (session duration, frequency, recency);
Participation in promotions, quizzes, and competitions; and
Any other engagement data generated within the OneFootball Ecosystem or partner platforms integrated into the OneFootball Ecosystem.
Platform Activity data is continuously collected from each individual platform, aggregated into reputation scores, and used to determine reward eligibility; only aggregates are published. Platform Activity is aggregated in accordance with the User's Enrolment Consent and is used to calculate FanScore, CohortScore, and eligibility for Activation Campaigns. Raw Platform Activity data (e.g., individual event logs, timestamps, identifiers) is not directly exposed to sponsors or partners; instead, sponsors and partners access Data Views as described in Section 4(f).
Activation Campaigns
Activation Campaigns are sponsor-funded campaigns in which Users opt in to participate and receive rewards in the form of $OFC Tokens. Additional consent is requested at inception, with users providing consent for more detailed and specific event data and sharing with sponsors. Campaign data is created only when users opt into specific sponsor activations. Completion attestations are collated by FanPass when campaign conditions are met.
Campaigns may include:
Consumption of specific content or engagement with partner brands;
Completion of quizzes, surveys, or challenges;
Participation in predictive games or fantasy leagues;
Achievement of engagement milestones or streaks; and
Other activities defined by the campaign sponsor/partner.
Eligibility for a specific Activation Campaign is determined by OneFootball (or the campaign sponsor/partner, in collaboration with OneFootball) based on the User's FanScore, CohortScore, age, location, and other criteria specified in the campaign terms. Users are notified of campaigns for which they are eligible and may opt in by providing Campaign Participation Consent. Completion of an Activation Campaign and receipt of rewards are subject to the requirements set forth in Section 7.b).
OneFootball and campaign sponsors/partners reserve the right to disqualify Users from campaigns, revoke rewards, or withhold Attestations in cases of fraud, misuse, bot activity, or breach of these FanPass Terms or campaign-specific terms, subject to the limitation of liability in Section 11(c).
Data Views and Partner Access
FanPass employs a Data Views framework which allows pre-defined aggregations that expose insights without raw data. This enables useful data sharing whilst preserving privacy. Data Views include: (i) FanScore (computed engagement score 0-10,000; does NOT expose individual events, timestamps, content), (ii) CohortScore (behavioral classifications and scores; does NOT expose underlying activity patterns, frequencies), (iii) Profile Eligibility (age bracket, location region via ZKP; does NOT expose exact age, precise location, identity), (iv) Campaign Activity (aggregated counts by category; does NOT expose specific content, timing, sequences), and (v) Attestation (completion of campaign and reward granted; does NOT expose detailed activity or timing).
Users consent to specific views, not raw data. Sponsors access views only, preventing individual identification whilst enabling campaign targeting.
Data Views do not include:
Raw event logs or detailed Platform Activity (e.g., specific articles read, exact timestamps);
Personal Data (e.g., name, email, date of birth, precise geolocation); or
Any data that would enable re-identification of a User without the off-chain mapping controlled by OneFootball.
Access to Data Views by sponsors and partners is subject to:
The User's provision of Campaign Participation Consent for the relevant Activation Campaign;
Compliance by the sponsor/partner with data protection obligations and contractual commitments to OneFootball; and
The User's ability to revoke Campaign Participation Consent at any time (subject to Section 6(d)).
Two-Stage Consent: Enrolment and Campaign Participation
Enrolment Consent
By registering for FanPass, the User provides Enrolment Consent, which grants OneFootball the right to:
Create and maintain the User's Identity Profile, including collection and processing of Personal Data (name, email, date of birth, location);
Aggregate the User’s Platform Activity across the OneFootball Ecosystem;
Calculate the User's FanScore and CohortScore based on Platform Activity and other factors;
Generate Zero-Knowledge Proofs of the User's age and location for eligibility verification;
Publish aggregate data (FanScore, CohortScore, eligibility attributes) for matching to Activation Campaigns;
Store the User's Wallet address (pseudonymous) on-chain and link it to the User's Identity Profile off-chain;
Display the User's Data Views to OneFootball for operational, analytical, and campaign-matching purposes; and
Process the User's Personal Data in accordance with the Privacy Policy for the OneFootball Website, the OneFootball App and applicable data protection laws.
Enrolment Consent does not:
Grant sponsors or partners access to the User's detailed Platform Activity, Personal Data, or Identity Profile;
Automatically enroll the User in any Activation Campaign; or
Authorise distribution of $OFC Token rewards (which requires Campaign Participation Consent).
Enrolment Consent is a prerequisite for participation in FanPass and may be withdrawn by the User at any time by terminating their FanPass account pursuant to Section 10(b), subject to the consequences described therein.
Campaign Participation Consent
To participate in a specific Activation Campaign, the User must provide additional Campaign Participation Consent for that campaign by explicitly opting in via the FanPass interface (e.g., by clicking „Join Campaign“ or signing a consent transaction with their Wallet).
Campaign Participation Consent grants:
To the campaign sponsor/partner: access to the User's Data Views relevant to the campaign (including FanScore, CohortScore, eligibility attributes, campaign activity aggregates, and completion Attestations), subject to the limitations described in Section 4(f);
To OneFootball: the right to share the User's Data Views with the campaign sponsor/partner, generate and distribute completion Attestations, and distribute $OFC Token rewards to the User's Wallet upon campaign completion; and
To the User: eligibility to participate in the campaign, receive rewards, and have campaign participation recorded in their Identity Profile.
Campaign Participation Consent is campaign-specific and must be provided separately for each Activation Campaign. A User may have a complete profile (Stage 1) but participate in zero campaigns (Stage 2). The two consent stages are independent.
The User may view a list of active Campaign Participation Consents and revoke any consent at any time via the FanPass interface, subject to Section 6(d).
User Obligations and Prohibited Conduct
Accurate Information and Compliance
Notwithstanding any further obligations under these FanPass Terms and any other applicable OneFootball terms, Users must:
Provide accurate, truthful, and complete information during registration and all interactions with FanPass;
Ensure that their use of FanPass complies with these FanPass Terms, the [OneFootball Wallet Terms], the [$OFC Token Terms], the [OneFootball Ecosystem Terms], and all applicable laws and regulations; [Note to OF: Please link the respective terms.]
Maintain the security of their Wallet, Private Key, Recovery Phrase, and OneFootball Account credentials, and immediately report any security breaches or unauthorised access to OneFootball; and
Notify OneFootball immediately if any information provided during registration has changed.
Prohibited Activities
The User agrees not to engage in any of the following prohibited activities whilst using FanPass or any services provided by OneFootball: any activity that seeks to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other information technology system, including (but not limited to) the deployment of viruses, malware, or denial-of-service attacks; any activity that attempts to circumvent these FanPass Terms, interfere with the functionality of FanPass, or exploit vulnerabilities in OneFootball's systems or services; any fraudulent activity, including but not limited to providing false, inaccurate, or misleading information to OneFootball or third parties, or unlawfully obtaining the property of another; any activity that violates applicable laws, rules, or regulations concerning financial transactions, anti-money laundering (AML), counter-terrorism financing (CTF), securities trading, derivatives trading, or commodities trading; any activity that infringes upon intellectual property rights, violates contractual obligations, breaches third-party rights, or constitutes a tort under applicable law; using FanPass for any unlawful purposes, including but not limited to financing terrorism, money laundering, fraud, or other criminal activities; any attempt to gain unauthorised access to accounts, wallets, systems, or networks associated with OneFootball or its services; and any other activity deemed by OneFootball to be harmful to its operations, reputation, or Users.
In addition, Users must not engage in:
Manipulation of FanScore/CohortScore: artificially inflating or deflating FanScore or CohortScore through automated means, bots, scripts, or coordinated inauthentic behaviour;
Reputation farming: engaging in Platform Activity solely to accumulate FanScore or qualify for Activation Campaigns without genuine interest or engagement;
Sybil attacks: creating multiple accounts or using multiple identities to circumvent eligibility restrictions or manipulate campaign participation;
Circumventing eligibility checks: using VPNs, proxies, false location data, or other means to misrepresent age, location, or eligibility status;
Unauthorised access or reverse engineering: attempting to access, modify, or reverse-engineer FanPass systems, smart contracts, APIs, or data structures; or
Collusion or fraud: coordinating with other Users or third parties to manipulate campaign outcomes, reward distribution, or FanScore/CohortScore calculations.
Consequences of Prohibited Conduct
Violation of this section may result in the suspension or termination of the User's access to FanPass and related services and may be reported to relevant authorities where required by law.
In addition, OneFootball reserves the right to:
Revoke XP, FanScore, CohortScore, or other reputation metrics;
Disqualify the User from Activation Campaigns and withhold rewards (including $OFC Tokens) that have not yet been distributed;
Revoke Attestations or campaign completion records;
Suspend, restrict, or terminate the User's FanPass and/or OneFootball account and access to the OneFootball Ecosystem; and
Pursue legal remedies, including claims for damages.
The User's rights under mandatory applicable law, including but not limited to the right to be heard and the right to judicial review, remain unaffected.
Effect of Consent Revocation
The User may revoke Campaign Participation Consent at any time via the FanPass interface. Revocation of Campaign Participation Consent will:
Terminate the sponsor/partner's access to the User's Data Views for future data processing (subject to any retention rights under applicable data protection laws or contractual obligations);
Prevent the User from participating in future instances or phases of the Activation Campaign (if ongoing);
Not affect rewards or Attestations already earned or distributed prior to revocation; and
Not affect the User's Enrolment Consent or participation in other Activation Campaigns.
Revocation of Enrolment Consent requires termination of the User's FanPass account pursuant to Section 10(b).
Fees and Rewards
Platform Fees and Gas Costs
OneFootball does not charge fees for registration to FanPass, creation or maintenance of an Identity Profile, provision of Enrolment Consent or Campaign Participation Consent, or participation in Activation Campaigns.
Gas Costs: OneFootball covers all gas costs for system operations such as event attestation, consent management, and data processing. Users are responsible only for gas costs incurred for their own Wallet transactions (e.g., token transfers, explicit consent decisions), which are determined by the respective blockchain protocols and are beyond OneFootball's control. Users are also responsible for any fees charged by third-party service providers (e.g., wallet providers, exchanges). The User is solely responsible for ensuring sufficient funds within their Wallet to cover any applicable transaction fees. Failure to do so may result in unsuccessful transactions, for which OneFootball bears no liability, subject to Section 11(c).
Activation Campaigns and $OFC Token Rewards
$OFC Token rewards are distributed to eligible Users upon completion of Activation Campaigns, subject to:
The User's provision of Campaign Participation Consent for the relevant campaign;
Satisfaction of campaign completion criteria (as specified in the campaign terms);
Verification of completion by OneFootball or the campaign sponsor/partner;
Generation of a completion Attestation;
Availability of reward pool funds; and
The User's Wallet being in good standing (not suspended or terminated).
OneFootball and campaign sponsors/partners make no guarantee of:
Specific reward amounts (which are determined by campaign sponsors/partners and may vary by campaign);
Availability of reward pools (which are funded by sponsors/partners and may be exhausted);
Eligibility for any particular Activation Campaign (which is determined based on FanScore, CohortScore, and other criteria); or
Future value or utility of $OFC Tokens (which are subject to market fluctuations and regulatory changes).
Reward distribution is typically automated via smart contracts or off-chain distribution mechanisms, and OneFootball is not responsible for delays or failures caused by blockchain congestion, smart contract bugs, or third-party failures, subject to Section 11(c).
Tax Responsibilities
Users are solely responsible for determining and fulfilling any tax obligations arising from participation in FanPass, receipt of $OFC Token rewards, or use of $OFC Tokens within the OneFootball Ecosystem. OneFootball does not provide tax advice and recommends that Users consult with qualified tax advisers regarding their specific circumstances.
Risk Disclosures
The User understands and acknowledges the following key risks associated with participation in FanPass and the use of $OFC Tokens:
Blockchain risk: Transactions on blockchain networks are irreversible. Blockchain networks are subject to congestion, forks, protocol changes, and failures that may affect the availability, timing, or execution of transactions.
Smart contract risk: Smart contracts may contain bugs, vulnerabilities, or errors that could result in loss of tokens, incorrect reward distribution, or other unintended consequences.
Token volatility risk: The value of $OFC Tokens is subject to significant fluctuation and may decrease to zero. OneFootball makes no representations regarding the future value of $OFC Tokens.
Self-custody risk: The User is solely responsible for the security of their Private Key and Recovery Phrase. Loss of these credentials results in permanent and irreversible loss of access to the Wallet and any digital assets stored therein.
THIS SECTION DOES NOT CONSTITUTE AN EXHAUSTIVE LIST OF RISKS. USERS SHOULD CAREFULLY CONSIDER WHETHER PARTICIPATION IN FANPASS IS APPROPRIATE FOR THEM IN LIGHT OF THEIR INDIVIDUAL CIRCUMSTANCES AND RISK TOLERANCE.
Intellectual Property
OneFootball retains all intellectual property rights in FanPass, the OneFootball Ecosystem, the OneFootball Platform, and all associated content, software, designs, trademarks, and data. Users retain all rights in their personal data and content they create. OneFootball grants the Users a limited, non-exclusive license to access and use FanPass for personal, non-commercial purposes in accordance with these FanPass Terms.
Termination and Suspension
Extraordinary Termination and Suspension by OneFootball
OneFootball reserves the right to suspend or terminate the User's ability to use FanPass within the OneFootball Ecosystem if the User breaches these FanPass Terms or the Terms of Use of OneFootball's Platform, the [OneFootball Wallet Terms], the [$OFC Token Terms], or the [OneFootball Ecosystem Terms]; fraudulent or unauthorised activity is detected; or suspension and/or termination is required by law or regulatory authorities.
In addition, OneFootball may suspend or terminate a User's FanPass account if:
OneFootball suspects fraud, manipulation of FanScore/CohortScore, reputation farming, Sybil attacks, bot activity, or other prohibited conduct described in Section 6(b);
The User has provided false or misleading information during registration or campaign participation;
The User's Wallet or associated accounts have been flagged for suspicious activity by blockchain analytics providers or law enforcement;
OneFootball determines that the User is located in a prohibited jurisdiction or has misrepresented their age or location; or
Continued provision of FanPass to the User would create legal, regulatory, or reputational risk for OneFootball.
Regarding the effect of a termination on the Wallet, paragraph d) applies.
Ordinary Termination by User
The User may terminate their participation in FanPass at any time by:
Ceasing to use FanPass;
Revoking Enrolment Consent via the FanPass interface or by written notice to OneFootball; or
Deleting their OneFootball Platform Account.
Regarding the effect of a termination on the Wallet, paragraph d) applies.
Ordinary Termination by OneFootball
OneFootball may terminate the User’s access to FanPass and related services connected to the Wallet upon providing at least 30 days’ written notice via email, except where an earlier termination is required by law or regulatory authorities. Regarding the effect of a termination on the Wallet, paragraph d) applies.
Effect of a Termination on Wallet and Tokens
Termination or suspension of a User's FanPass account does not affect:
The User's ownership and control of their Wallet, Private Key, and Recovery Phrase;
The User's ownership of $OFC Tokens or other digital assets stored in the Wallet;
The User's ability to access, transfer, or use the Wallet and $OFC Tokens outside the OneFootball Ecosystem (subject to the User's retention of their Private Key and Recovery Phrase); or
On-chain data (Wallet address, Attestations, consent records), which persist on the blockchain indefinitely.
However, termination or suspension will prevent:
The User from using FanPass or participating in Activation Campaigns;
The User from using $OFC Tokens or the Wallet within the OneFootball Ecosystem (e.g., to redeem tokens for goods/services offered by OneFootball or partners); and
Sponsors and partners from accessing the User's Data Views.
Limitation of Liability
General Disclaimer
FanPass is connected to the self-custodial Wallet of the User, enabling Users to store, transfer, and manage cryptographic tokens independently. OneFootball does not store, access, or control Private Keys, Recovery Phrases, or any further credentials associated in whichever way with the Wallet (e.g., password managers). Accordingly, OneFootball shall not be responsible or liable for any loss, theft, or unauthorised access to the Wallet, in particular if resulting from the User's failure to safeguard their credentials or implement adequate security measures.
To the fullest extent permitted by applicable law and subject to Section 11(c), OneFootball provides FanPass on an „as is“ and „as available“ basis without any warranty or guarantees whatsoever, whether expressed or implied, in particular that FanPass is free of errors, technical default, interruption, malware, viruses, or tailored for the purpose the User has intended.
Specific Exclusions
Subject to Section 11(c), OneFootball excludes liability for:
Loss of access to tokens due to loss or compromise of Private Keys, Recovery Phrases or any further credentials;
Unauthorised transactions initiated from the User's Wallet;
Errors or omissions in blockchain transactions (e.g., incorrect recipient addresses or amounts);
Failures, delays, or vulnerabilities inherent to blockchain networks;
Device failures, software bugs, or malware affecting the Wallet;
Inaccuracies in FanScore, CohortScore, or Data Views resulting from errors in Platform Activity aggregation, data processing, or third-party data sources;
Ineligibility for Activation Campaigns or non-receipt of rewards resulting from failure to meet campaign criteria, exhaustion of reward pools, or sponsor/partner decisions;
Loss of value or utility of $OFC Tokens resulting from market fluctuations, regulatory changes, or cessation of partner programmes;
Failures or delays in reward distribution resulting from smart contract bugs, blockchain congestion, or third-party failures;
Unauthorised access to the User's Data Views or Personal Data resulting from sponsor/partner breaches or failures;
Errors or delays in ZKP generation or verification resulting from third-party service provider failures;
Loss or corruption of Attestations, consent records, or on-chain data resulting from blockchain protocol failures or forks; and
Any losses arising from the User's breach of these FanPass Terms, prohibited conduct, or failure to comply with applicable laws.
Limitation of Liability
Notwithstanding any of the exclusions and limitations of liabilities above, OneFootball shall be liable, including for the acts of its legal representatives and agents (Erfüllungsgehilfen), without limitation in cases of:
(a) Intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit);
(b) Injury to life, body, or health (Verletzung von Leben, Körper oder Gesundheit);
(c) Within the scope of a warranty assumed by OneFootball (Garantieübernahme); and
(d) Under the Product Liability Act (Produkthaftungsgesetz).
OneFootball's liability for slight negligence (leichte Fahrlässigkeit) in breaching duties essential to the fulfilment of this contract's purpose (wesentliche Vertragspflichten / Kardinalpflichten) shall be limited to the extent of damages that are foreseeable and typical for this type of contract. Beyond this, OneFootball's liability for slight negligence is excluded.
The foregoing limitations apply regardless of the legal basis of the claim, whether contractual, tortious, or otherwise.

Third-Party Services and Integrations
FanPass integrates and/or interacts with third-party services, platforms, and/or applications („Third-party Services“). OneFootball does not endorse or guarantee the availability, functionality, or security of such Third-party Services. The User acknowledges that their use of Third-party Services is subject to the terms and conditions of the providers of these Third-party Services.
During the use of FanPass, the User might be redirected to third-party websites or resources. OneFootball provides links to third-party websites only as a convenience and is not responsible for the content, products, or services on or available from such third-party websites or resources. OneFootball is not responsible for the availability or quality of third-party services, including cell phone networks, hotspots, wireless internet and other services. Such third-party services may affect the User's ability to utilise FanPass at certain points in time. Subject to Section 11(c), OneFootball shall not be liable for any losses resulting from the use of Third-party Services or third-party websites or resources.
Modifications to the Terms
Material Amendments
OneFootball reserves the right to modify, amend, or revise these FanPass Terms where such modification is necessary due to:
Changes in applicable law, regulation, or court decisions;
Changes in regulatory requirements or supervisory guidance;
Technical changes to FanPass, the OneFootball Ecosystem, or blockchain infrastructure;
Introduction of new features, services, or functionalities;
Changes in the economic or operational conditions of FanPass (including changes to reward structures, partner relationships, or data processing practices); or
Closure of gaps or ambiguities in these FanPass Terms that were not foreseeable at the time of conclusion.
If such an amendment is material (i.e., it significantly impacts the User's rights, obligations, or the risks associated with FanPass), OneFootball will notify the User at least 30 days prior to the proposed effective date via email or prominent notice on the FanPass interface.
The User may reject the proposed amendment by notifying OneFootball in writing (including email) before the proposed effective date. If the User rejects the proposed amendment, the User may terminate these FanPass Terms with immediate effect without penalty. If the User does not reject the proposed amendment within the 30-day notice period, the amendment shall be deemed accepted.
Non-Material Amendments
For non-material amendments (including corrections of typographical errors, clarifications, or administrative updates that do not affect Users' substantive rights), OneFootball may implement changes without prior notice, and such changes will be effective immediately upon publication of the updated FanPass Terms on the FanPass interface.
Dispute Resolution
Jurisdiction and Applicable Law
German law, excluding conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG), applies to entrepreneurs. The exclusive place of jurisdiction for disputes with entrepreneurs shall be Berlin, Germany.
German law, excluding conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG), applies to consumers, unless mandatory legal consumer regulations in the User's country (i.e., the country in which the User has their primary domicile) are more beneficial to the User, in which case these mandatory legal consumer regulations shall apply. Consumers may bring legal proceedings in the courts of their country of domicile or in the courts of Berlin, Germany.
Alternative Dispute Resolution
OneFootball is neither willing nor obliged to participate in a dispute settlement procedure before a consumer arbitration committee (Verbraucherschlichtungsstelle) within the meaning of § 36 VSBG. This does not affect the User's right to bring legal proceedings before the competent courts.
Miscellaneous
Severability Clause
If any provision of these FanPass Terms is or becomes invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid, illegal, or unenforceable provision shall be replaced by a valid, legal, and enforceable provision that comes closest to the economic intent of the original provision. The same applies in the event of a contractual gap.

Language
These FanPass Terms are drafted in the English language. If these FanPass Terms are translated into any other language, the English language version shall prevail to the extent permitted by applicable law. For the avoidance of doubt, where mandatory consumer protection provisions require the availability of terms in the User's local language, OneFootball will make reasonable efforts to provide a translation.
